No mystery to 45% rise in Alliance Atlantis Q3 profit: CSI did it.

TORONTO (CP) _ As the CSI franchise continues to dominate television ratings, Alliance Atlantis Communications Inc. (TSX:AAC.B) is reaping the rewards, posting a 45 per cent year-over-year profit increase in the summer quarter.

The specialty broadcaster said Friday that the strong performance of CSI, which it co-produces and distributes, proved that interest in the murder-mystery programs remains strong around the world. Overall CSI revenue totalled $140.2 million, up from $50.3 million in the year-ago quarter despite a $12.5-million negative impact from foreign exchange rate changes.

The strength of CSI remains apparent in Canadian ratings where all three CSI series _ which include Miami and New York based spinoffs _ rank as the top three most-watched shows on a regular basis, according to its broadcaster, Bell Globemedia’s CTV. Ratings in the United States are equally strong, with all three programs frequently ranking in the Top 10.

Alliance said net earnings jumped to $17.7 million from $12.2 million despite a $30-million goodwill impairment charge on the "other" segment of the company’s library of films and TV programs. Revenue was $323.5 million, up from $247.1 million a year ago.

New international second-run sales of CSI contributed $91.3 million to revenue and $40.3 million to the bottom line. Earnings per share came to 42 cents, up from 28 cents in the same period a year earlier. In Friday afternoon trading on the Toronto Stock Exchange, Alliance rose 17 cents to $38.67, with a 52-week high of $39.60 and a low of $31.20.

Alliance CEO Phyllis Yaffe also noted that streaming content, which debuted on the company’s specialty channel websites this summer, proved to be a strong interest for viewers.

"Since July… we have served up 2.8 million video streams. Our sites are serving, on average, nearly one million video streams per month," she said.

Canadian viewers thirsty for digital content had access to previously aired episodes of renovation series "Holmes on Homes" as well as "webisodes" of the American firefighter drama "Rescue Me."

Streaming online content has become a hot item for American networks and cable channels, which often catalogue recent episodes of hit series for access on their websites. Due to copyright restrictions, most American networks lock out their website’s video programming to Canadian viewers. That means past CSI episodes can be streamed by Americans through the CBS website, though Canadian network CTV hasn’t made a similar move.

Yaffe didn’t directly address whether CSI would soon be accessible to Canadians through CTV’s streaming content. The Alliance websites deal only with programming that is produced and airs on in-house cable channels.

"One of our priorities over the next year is to continue to focus on enriching the content and applications on our websites," she said.

"Our advertisers, sponsors and content providers are very eager to move into these new markets and we intend to meet their growing needs."

Broadcasting revenue edged up four per cent to $66.7 million, while motion picture distribution revenue declined eight per cent to $107 million.

Alliance Atlantis bought back 900,000 Class B shares during the quarter at a cost of $29.6 million, and chief financial officer David Lazzarato said the share repurchase program will continue next year.

Alliance appoints Executive VP

TORONTO, Oct. 25 /CNW/ - John Bailey, CEO today announced the promotion of Doug Smith to Executive Vice President, effective immediately. Reporting to both the CEO and the Executive Managing Director, Mr. Smith’s role is expanded to include direct support to the CEO on special projects, and working with Managing Directors on business improvement.

Mr. Smith will continue to oversee IT, Contract Administration, 3rd Party Service Providers, New Business Development and Operational Support of Business Units. Mr. Smith joined Alliance in 1997 to run Domestic TV Sales. During his time in that area, he grew the television business by directing MPD into the Video On Demand arena. Most recently Mr. Smith was Senior Vice President TV Distribution and Operations for MPD.
"Doug is a recognized and respected member of the MPD team," said Mr. Bailey. "His contributions over the years in a variety of areas have been a very important component of this company’s success."

Alliance to sell 51% in MPD LP

TORONTO (CP) _ In the wake of boardroom turmoil, TV and movie titan Alliance Atlantis Communications Inc. (TSX:AAC.B) is looking to sell its 51 per cent stake in Motion Picture Distribution LP. Meanwhile, Movie Distribution Income Fund (TSX:FLM.UN), which owns 49 per cent of MPD, said Friday it has formed a special committee of the fund and its subsidiary trust to consider the implications of Alliance Atlantis’s announcement.

"As previously disclosed, each of the fund and Alliance Atlantis require(s) approval of the other with respect to any sale of their indirect interests in MPD," the fund said in a release.

Alliance CEO Phyllis Yaffe said Alliance Atlantis conducted a review of its holding and "we have identified many opportunities for broadcasters and motion picture distributors in this environment of evolving delivery technologies."

Alliance said it has hired RBC Capital Markets (TSX:RY) and Bennett Jones LLP as its financial and legal advisers on the possible sale. In late September, Motion Picture Distribution secured a deal with movie-maker New Line Cinema Corp. by agreeing to have ousted former chairman Victor Loewy return to the company as a consultant, ending months of conflict.

The deal followed a public dispute with Loewy, in which Motion Picture tried to prevent him from establishing a competing Canadian distributor and lure away major distributors like New Line. Motion Picture also said it had reached a settlement with former CEO Patrice Theroux and general counsel Paul Laberge who were fired in July for what the company said was "cause." Loewy’s relationship with the company soured around that time.

His lawyers claimed he was dismissed, while Motion Picture Distribution was adamant he resigned.

Alliance applies to terminate SEC registration

TORONTO (CP) _ Alliance Atlantis Communications Inc. (TSX:AAC.B) has applied to terminate the registration of its class-B, non-voting shares under the U.S. Securities Exchange Act.

The company said Tuesday it expects its de-registration in the United States to be effective in 90 days, after which time it will no longer be subject to the U.S. disclosure requirements of the Sarbanes Oxley Act of 2002.

As a result of the filing, Alliance Atlantis’ obligation to file reports with the U.S. Securities and Exchange Commission has been immediately suspended.

"Given the ongoing administrative costs we determined that registration in the United States was no longer cost effective for our business," chief financial officer David Lazzarato said in a release.

Alliance Atlantis will continue to be subject to the reporting requirements of Canadian securities regulators as well as the Toronto Stock Exchange.

Alliance Atlantis owns 13 specialty TV channels and co-produces and distributes the hit CSI franchise. Prior to its announcement, the company’s class-B shares lost a nickel to close at $34.15 on the Toronto Stock Exchange.
